By creating an account, accessing the SmartCore platform, purchasing a subscription, or using any SmartCore service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific modules or features.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have that authority, or if you do not agree with these Terms, you must not use the Service.

SmartCore is a B2B platform intended for business use. Consumer use is not the primary purpose of the Service, and consumer protection regulations may apply differently where relevant.
You must provide a valid email address, company name, and any other information requested during registration. You agree that the information you provide is accurate, current, and complete, and that you will keep it up to date.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@smartcoretechnology.co.uk if you become aware of any unauthorised use of your account.
Where your subscription permits, you may invite employees or team members to access the Service under your company account. You are responsible for ensuring that all sub-users comply with these Terms. Their actions within the platform are your responsibility.
Credentials must not be shared between individuals. Each named user must have their own login. Sharing accounts to circumvent per-seat or per-user pricing is a breach of these Terms.
SmartCore operates on a subscription basis. You choose a plan at checkout based on your company size and the modules you require. Prices are displayed on our website and in your account dashboard and are quoted in GBP (£) exclusive of VAT unless otherwise stated.
Subscriptions are billed monthly or annually, depending on the plan you select. Annual plans are paid upfront for the full year. Monthly plans are billed on the same date each month from the start of your subscription.
Payments are processed securely by Stripe. By providing payment details, you authorise us to charge your payment method on each renewal date. We do not store raw card numbers — all card data is held by Stripe in accordance with PCI-DSS standards.
We may change subscription prices with at least 30 days' written notice by email to your registered address. Continued use of the Service after a price change takes effect constitutes acceptance of the new price. You may cancel before the new price applies if you do not wish to continue.
If a payment fails, we will attempt to notify you by email. We may retry the payment up to three times. If payment remains outstanding after 14 days, we reserve the right to suspend access to your account until the balance is settled. Persistent non-payment may result in termination of your subscription.
Where applicable, VAT will be added to your subscription price at the prevailing rate. You are responsible for any other taxes applicable in your jurisdiction.
We may offer free trials or promotional pricing from time to time. Unless otherwise stated, a free trial will automatically convert to a paid subscription at the end of the trial period unless you cancel beforehand.
Promotional pricing is available only for the period stated at the time of offer. After any promotional period ends, your subscription will revert to the standard price for your plan.
Abuse of free trials — including creating multiple accounts to obtain repeated trials — is a breach of these Terms and may result in account termination.
You may cancel your subscription at any time through your account at /manage-plans or by contacting support. Cancellation takes effect at the end of your current billing period — you will retain access to the Service until that date.
We do not offer refunds for partial months or unused portions of a billing period, except where required by law. If you cancel an annual subscription within 14 days of purchase and have not made material use of the Service, you may request a pro-rata refund by contacting support@smartcoretechnology.co.uk.
Following cancellation, your data will be retained for 30 days to allow for reactivation or export. After 30 days, your data may be permanently deleted. We recommend exporting any data you need before your subscription ends.
You agree to use SmartCore only for lawful purposes and in accordance with these Terms. You must not:
We reserve the right to suspend or terminate any account we reasonably believe is in breach of this section, without prior notice where necessary to protect the platform or other users.
The Service, including all software, code, design, trademarks, logos, content, and documentation, is owned by SmartCore Technology or our licensors and is protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes during the subscription term.
You retain ownership of all data, files, and content you upload or create within the Service ("Your Content"). By uploading Your Content, you grant SmartCore a limited licence to host, process, and display it solely to provide the Service to you. We do not claim ownership of Your Content.
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction or compensation to you.
We take data protection seriously. Our collection and use of personal data in connection with the Service is governed by our Privacy Policy, which forms part of these Terms.
Where you upload personal data about your employees or clients into SmartCore, you are the data controller and SmartCore acts as your data processor. We process such data only on your instructions and in accordance with our Data Processing Agreement, available on request.
We implement appropriate technical and organisational measures to protect your data against unauthorised access, loss, or destruction. These include encryption in transit and at rest, access controls, and regular security reviews.
You may export your data at any time using the export functions within the platform. If you require assistance with a bulk export, contact our support team.
SmartCore processes personal data in accordance with the UK GDPR and the Data Protection Act 2018. For any data protection queries, contact us at support@smartcoretechnology.co.uk.
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. "Confidential information" includes pricing, business processes, technical specifications, and any information marked as confidential or which a reasonable person would understand to be confidential.
This obligation does not apply to information that is publicly available through no fault of the receiving party, or that was already known to the receiving party before disclosure.
SmartCore may integrate with or link to third-party services (for example, Stripe for payments, Resend for email, mapping services). These third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
Your use of any third-party service is at your own risk. We recommend reviewing the applicable third-party terms before enabling any integration.
We aim to make SmartCore available 24/7 and target 99.8% monthly uptime, excluding scheduled maintenance. However, we do not guarantee uninterrupted or error-free access to the Service.
We may carry out scheduled maintenance from time to time and will endeavour to notify you in advance where possible, typically during off-peak hours. Emergency maintenance may be carried out without prior notice.
We are not liable for downtime caused by factors outside our reasonable control, including internet service provider failures, third-party infrastructure outages, or force majeure events.
We provide technical support to all active subscribers via email at support@smartcoretechnology.co.uk. We aim to respond to all support requests within one business day.
Support is provided in English and covers the core functionality of the Service. We do not provide support for customisations made outside the platform, third-party integrations not built by us, or issues caused by your own hardware or network.

To the maximum extent permitted by applicable law:
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
You agree to indemnify, defend, and hold harmless SmartCore Technology and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
You may terminate your subscription at any time by cancelling through your account or contacting support. Termination takes effect at the end of the current billing period.
We may suspend or terminate your access to the Service immediately and without prior notice if:
On termination, your licence to use the Service ends immediately. You must cease all use of the Service. We will retain your data for 30 days post-termination for export purposes, after which it may be permanently deleted. Clauses that by their nature should survive termination (including Sections 9, 10, 11, 15, 16, and 19) will continue to apply.
We may update these Terms from time to time to reflect changes in the law, our services, or our business practices. When we make material changes, we will notify you by email to your registered address at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before commencing formal proceedings, we encourage you to contact us to try to resolve any dispute informally. We will use reasonable efforts to resolve disputes through direct communication within 30 days of notice.
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
